On SpaceX's Oct 20 call, Musk said a Tesla merger would need yes votes from half of Tesla's outstanding shares, not half of votes cast. SpaceX's own committee, board and its controlling shareholder (Musk) must also sign off (Observer). Same man, both sides of the table.
