$MRVL $LITE $COHR $AXTI Marvell buying Lumentum strengthens the bull case for optical suppliers🔥 1. Marvell and Lumentum signed an all-stock agreement on November 2: each Lumentum share will receive 4.5 Marvell shares. The announcement puts Lumentum's implied enterprise value at $115 billion. 2. Lumentum's operating results explain why these assets matter. Fiscal Q1 revenue reached $1.2626 billion, up 25.5% sequentially, and non-GAAP operating margin reached 42.3%. The next-quarter revenue guide is $1.575 billion to $1.625 billion, with a 45% to 46% non-GAAP operating margin. The revenue midpoint implies another 26.7% sequential increase. That is growth accompanied by stronger profitability. Lumentum also disclosed a second major NPO/CPO win backed by more than $5 billion in purchase commitments. These architectures move optics closer to the processor or into its package. The commitment gives its next generation of optical products a substantial commercial foundation; the announcement does not specify the revenue recognition schedule. 3. Marvell would gain lasers, optical modules, optical circuit switches and specialized compound-semiconductor manufacturing alongside its connectivity chips and custom silicon. Bringing those capabilities together could shorten the work needed to turn a chip design into a qualified optical connection. Faster qualification and reliable volume production can help customers deploy more bandwidth, giving suppliers a larger market to serve. For MRVL shareholders, the financial test is earnings per share after issuing the acquisition shares. Existing holders would own about 67% of the combined company. Management expects first-year post-close non-GAAP EPS accretion and sees more than $1 billion in annual run-rate cost synergies. Those expectations give the strategic case a financial test that investors can track. 4. Coherent has a credible opportunity outside the combination. Its portfolio spans high-speed InP lasers and high-power continuous-wave lasers for silicon photonics and CPO. Customers seeking an additional source outside a combined Marvell-Lumentum could give COHR more design opportunities. That is a positive competitive angle, provided Coherent wins qualification and delivers capacity. It will also face a more integrated competitor. 5. AXT offers exposure further upstream, through the InP substrates used to make optical devices. Its October 29 results already showed revenue rising from $47.6 million in Q2 to $73.4 million in Q3, while GAAP gross margin increased from 44.9% to 56.0%. Management attributed the revenue growth to exceptionally strong InP demand. This is evidence that demand is reaching the materials layer and improving profitability. If the combined platform accelerates InP laser production, that would support substrate demand. For AXTI, the conversion into additional earnings still runs through customer orders, export permits, qualified output and pricing. A larger downstream buyer could also negotiate harder, so volume growth and retained margin both matter. 6. For module makers such as China's Eoptolink (300502 SZ), which offers 1.6T transceivers, the bullish opportunity is serving the expanding optical network while customers continue to value multiple suppliers. More bandwidth, reliable component access and production yields can support higher shipments. But Lumentum also makes modules, so integration strengthens a competitor as well as a component supplier. The winners will need to retain their margin as they grow. My read is bullish on optical demand and on companies with qualified manufacturing capability. Lumentum's new commitments strengthen the case for lasers; Coherent has a potential second-source opportunity; AXT has already shown the upstream earnings response; and independent module suppliers still have room to execute.
